Dominion Warehousing & Distribution Services Ltd. (commonly referred to as “Dominion”) will not, at any time, during or subsequent to working with our client base, disclose any information or knowledge (including, but not limited to) plans, business processes, methods, computer programs, client lists, prospect lists, and trade secrets of our clients or their clients, or use such information in any way except as is necessary to provide services for our customers.
“Dominion” may have access to confidential information from clients, and may be authorized to use this information in the performance of its duties. “Dominion” agrees that this information is proprietary and agrees never to reveal the content of said information to any other parties.
This agreement does not cover information which was:
a) in the public domain prior to disclosure
b) becomes part of the public domain through no unauthorized act of “Dominion”.
c) was obtained on a non-confidential basis from a third party.
This agreement does not preclude “Dominion” from disclosure of information required by law or court order. However, “Dominion” agrees to inform the client promptly of a receipt of a demand of this nature. In the case that the client in question does not wish that the information be released, “Dominion” agrees to cooperate with the client’s attempt to have the order quashed.
